Welcome to Cortexly. This is the agreement between you and FINDEREKA UAB (company code 308066820, V. Nagevičiaus g. 3, LT-08237 Vilnius, Lithuania) — referred to here as "Cortexly", "we" or "us" — covering the website and agent platform at https://cortexly.cloud (the "Service"). Using the Service means you accept these terms; if you don't, please don't use it.
Getting an account
You need to be at least 18. Give us accurate details, look after your login and API keys, and understand that whatever happens under your account is your responsibility. If something looks compromised, write to [email protected] straight away.
What Cortexly does
Cortexly turns work that repeats into crews of AI agents. You design them, run them on a schedule, from a webhook or through the REST API, and they hold context and settle against a single token balance. Runs reach out to the models and services each step needs. Which models and connectors are available can change over time, and we may adjust or retire parts of the Service.
Runs, input and output
Whatever you feed a run — prompts, configs, files, data — stays yours; you simply let us process it and pass it to the models and services that run uses, purely to operate the Service. Anything a run produces for you is yours to the extent we hold any rights in it, as long as you keep to these terms. Bear in mind that agent output can be wrong, insecure or unoriginal, and that agents act on their own once you dispatch them — so you own what your crews do, including what they send to connected services, and you should check output before trusting it. We never train our own models on your input or output.
Keys and connected accounts
You can plug in your own model-provider keys (Anthropic, OpenAI, Gemini, xAI and the like) and connect outside services. Those accounts have to be yours to use, and their providers' terms are on you — including anything they bill you directly, which is separate from the tokens you spend here. We hold your credentials encrypted and only decrypt them inside the run engine.
The ground rules
Our Acceptable Use Policy is part of this agreement. In short: nothing illegal, harmful, infringing, and no attacking the Service or the systems your agents can reach. Break those and we may pause or close your account.
Tokens and billing
The Service runs on tokens, which you top up as one-off amounts listed on the Pricing page — nothing subscribes, nothing renews, no per-seat fees. A run reserves tokens when it starts and debits them when it settles; if it fails, the reservation is handed back. Every one of those movements lands on an append-only ledger showing the balance afterwards. Prices may be shown before tax, with VAT added where it applies, and a third-party provider handles the payment itself. For anything refund-related, see the Refund & Cancellation Policy.
Ownership
The Service — its software, design and the Cortexly name — belongs to us or our licensors. You get a limited, revocable, non-exclusive right to use it, and nothing more; don't copy, resell or reverse-engineer it beyond what the law allows.
No warranties, and the limit on our liability
The Service and its output come "as is", without warranties, so far as the law permits. Output isn't professional advice, and neither generated content nor agent actions are guaranteed correct or secure. Where the law lets us cap liability, our total liability to you is limited to what you paid us in the 12 months before a claim, or EUR 100 if that is higher. We don't exclude anything that can't lawfully be excluded, and your mandatory rights as a consumer stand regardless.
Closing the account
Leave whenever you like. We may suspend or end access if these terms or the AUP are broken, or where the law requires it.
Changes
These terms can change; we'll flag anything significant, and continuing to use the Service after that means you accept the new version.
Governing law
Lithuanian law applies, and the Lithuanian courts have jurisdiction — though as a consumer you keep the protections and the courts of the country you live in. Consumers can also take a dispute to Lithuania's State Consumer Rights Protection Authority (VVTAT, https://vvtat.lt), and those elsewhere in the EU can turn to the European Consumer Centres Network (ECC-Net).
